PREAMBLE
These General Terms and Conditions of Sale and Services (hereinafter referred to as «GTS») govern all contractual relations between AgroMyne (hereinafter referred to as «the Provider») and any individual or legal entity (hereinafter referred to as «the Customer») wishing to benefit from the services offered on the platform. www.agromyne.com.
AgroMyne is a business brokerage company specializing in international transport, logistics, freight forwarding, import-export, trading in agri-food products and raw materials (gold, copper, ores and other materials). The company operates mainly on the African continent, and also offers consulting, concierge and business travel services.
Any order or use of the services implies full acceptance of these terms and conditions by the Customer. These terms and conditions take precedence over any other document issued by the customer, in particular the customer's own general terms and conditions of purchase.
ARTICLE 1 - COMPANY IDENTIFICATION

- Online sales via the AgroMyne Marketplace (exotic products, electronics, household appliances)
- Professional advertising platform (dedicated space for professionals)
- Logistics and business development consulting for companies
- Private concierge and business travel services
Geographic focus: the world and international relations with Africa.
ARTICLE 2 - SCOPE OF APPLICATION
These General Terms and Conditions apply to all services offered by AGROMYNE, namely :
- Selling products via the Marketplace (Section A)
- Transport, logistics and freight brokerage services (Section B)
- Business consulting services (Section C)
- Professional advertising platform (Section D)
- Concierge and travel services (Section E)
Each section may include special conditions that supplement or clarify the common general conditions. In the event of contradiction, the special conditions take precedence.
SECTION A - MARKETPLACE: SELLING PRODUCTS ONLINE
A.1 - Products offered
The AgroMyne Marketplace offers :
- Exotic foods and African specialties
- Electronic prizes (smartphones, tablets, accessories, etc.)
- New or reconditioned household appliances
- Any other product listed on the platform
A.2 - Ordering
Any order placed on the Marketplace constitutes a firm offer to purchase. The contract is concluded upon receipt of the order confirmation sent by AgroMyne to the Customer by email. AgroMyne reserves the right to refuse any order for legitimate reasons.
A.3 - Prices
Prices are quoted in euros (EUR) or in the applicable local currency, all taxes included (VAT) unless otherwise stated. AgroMyne reserves the right to modify its prices at any time, the applicable prices being those in force at the time the order is validated.
Transport, customs and handling charges may be added to the price displayed, depending on the destination. These costs are indicated before final order confirmation.
A.4 - Payment
Payment is due when the order is placed. Accepted payment methods are specified on the platform. Any fraudulent or unpaid payment will result in immediate cancellation of the order and possible legal action.
A.5 - Delivery and transport
Delivery times are indicative and may vary according to destination, customs procedures and local logistical conditions, particularly in Africa. Agrne cannot be held responsible for delays attributable to carriers, administrations or cases of force majeure.
The risks associated with transport are transferred to the Customer as soon as the package is handed over to the carrier (applicable INCOTERMS specified in the order confirmation).
A.6 - Right of withdrawal
In accordance with applicable regulations, individual consumers have a period of 14 calendar days from receipt of the product to exercise their right of withdrawal, except in the case of legal exceptions (perishable, personalized, unsealed products, etc.). This right does not apply to B2B transactions.
A.7 - Warranties and claims
Any product delivered non-compliant or defective must be reported within 48 hours of receipt by email with photos. AgroMyne undertakes to examine each complaint within 5 working days and to offer a replacement, credit note or refund as appropriate.
SECTION B - TRANSPORT, LOGISTICS & FREIGHT BROKERAGE
B.1 - Nature of services
AGROMYNE acts as a transport and logistics broker, organizing, coordinating and monitoring import-export operations on behalf of its customers. Our services include
- Carrier search and selection (road, sea, air)
- International freight organization and groupage
- Managing customs and documentary formalities
- INCOTERMS consulting and logistics flow optimization
- Shipment tracking and incident management
- Brokerage of raw materials (gold, copper, ores) and agri-food products
B.2 - Quotation and acceptance
All logistics services are subject to a prior estimate drawn up by AGROMYNE, valid for 15 days unless otherwise specified. The contract is formed by the Customer's signature of the purchase order or written acceptance of the quotation.
B.3 - Customer obligations
The Customer undertakes to :
- Provide accurate and complete information on goods (nature, weight, dimensions, value, applicable regulations)
- Comply with customs and export/import regulations in the countries concerned
- Declare the exact value of goods for customs purposes
- Pay amounts due according to agreed deadlines
B.4 - Broker's liability
AgroMyne acts as an intermediary and cannot be held responsible for damage caused by carriers, port operators, customs services or any third party involved in the logistics chain. AgroMyne's liability is limited to its own fault in organizing operations.
When trading raw materials, AgroMyne acts as a facilitating intermediary. All transactions are subject to prior verification of the legality of the goods and to compliance with OECD, FATF and applicable local laws.
B.5 - Rates and billing
Brokerage rates are based on volume, weight, type of goods and destination. They are quoted individually. Invoicing takes place according to the terms agreed in the order form. Late payment will incur interest at the legal rate plus 5 points.
B.6 - Insurance
It is the Customer's responsibility to take out appropriate insurance to cover its goods. AgroMyne may, at the Customer's request, facilitate contact with specialized insurers, without incurring any liability in the event of a claim.
SECTION C - BUSINESS CONSULTING
C.1 - Scope of services
AgroMyne offers consulting services mainly for start-ups and SMEs, covering :
- Supply chain optimization
- Support for import-export and internationalization
- Structuring transport and freight operations
- Sourcing consulting for raw materials and food products
- Connections with reliable logistics partners in Africa
- Auditing and improving operational processes
C.2 - Mission agreement
All consulting assignments are subject to an engagement letter or service contract signed by both parties, specifying objectives, scope, deliverables, duration and fees.
C.3 - Fees
Fees are fixed according to the type of assignment: flat-rate, daily rate or percentage on value generated, by prior agreement. A deposit of 30 to 50% may be required on signature of the agreement. The balance is paid according to the agreed schedule.
C.4 - Confidentiality
AgroMyne undertakes to maintain the strict confidentiality of all information communicated as part of the consulting mission. This obligation of confidentiality is reciprocal and lasts for 3 years after the end of the mission.
C.5 - Results and liability
AgroMyne is subject to an obligation of means and not of results. Recommendations are based on information provided by the Customer. AgroMyne cannot be held responsible for decisions taken by the Customer on the basis of its advice.
SECTION D - PROFESSIONAL ADVERTISING PLATFORM
D.1 - Service description
AgroMyne provides professionals (producers, traders, importers, exporters) with a platform for advertising their products and services to other professionals operating mainly on the African market.
D.2 - Access and registration
Access to the advertising platform is reserved for duly registered professionals. Registration requires the provision of documents justifying professional status (Kbis extract, trade register or equivalent depending on the country). AgroMyne reserves the right to validate or refuse any registration.
D.3 - Advertisers' obligations
Any professional publishing an advertisement undertakes to :
- Provide accurate, complete and non-misleading information on the products or services offered.
- Have all the rights and authorizations required to sell the advertised products
- Comply with applicable sanitary, phytosanitary and customs regulations
- Not to publish content that is illicit, counterfeit or infringing on the rights of third parties
- Update or delete expired ads
D.4 - AGROMYNE's liability
AGROMYNE acts as host of the ad platform and is not a party to transactions concluded between professionals. AgroMyne does not guarantee the accuracy of information published by advertisers and cannot be held responsible for disputes between buyers and sellers.
D.5 - Advertising rates
Pricing conditions for ad publication are specified on the platform. Subscription or pay-per-publication formulas may be offered. These rates are subject to change with 30 days' notice.
D.6 - Moderation
AgroMyne reserves the right to delete, modify or refuse any ad that does not comply with these conditions or the rules of the platform, without notice or compensation.
SECTION E - CONCIERGE & TRAVEL
E.1 - Services offered
AgroMyne's Concierge & Travel division offers personalized services for professionals and business travelers, including :
- Organization of business trips to and from Africa
- Booking accommodation, flights and transfers
- Private concierge services (administrative assistance, field logistics)
- On-site support in countries of operation
- Organization of trade missions and partner visits
E.2 - Quotation and reservation
All concierge and travel services are subject to a personalized quote. Reservations are confirmed on receipt of the agreed deposit (minimum 30% of the total amount). AgroMyne acts as an agent for third-party service providers (airlines, hotels, local carriers).
E.3 - Cancellation and modification
Cancellation conditions depend on the policies of third-party service providers. In the event of cancellation by the customer :
- More than 30 days before the event: refund of deposit less costs incurred
- Between 15 and 30 days: 50% of the total amount withheld
- Less than 15 days: no refund, except in the case of force majeure, duly justified
E.4 - Liability
AgroMyne cannot be held responsible for events beyond its control affecting travel or services (strikes, border closures, health problems, political instability). Customers are strongly advised to take out appropriate travel insurance.
ARTICLE 3 - INTELLECTUAL PROPERTY
All content on the site www.agromyne.com (text, images, logos, trademarks, data, software) are the exclusive property of AgroMyne or its partners and are protected by intellectual property law. Any reproduction, representation, distribution or use without prior written authorization is strictly prohibited.
ARTICLE 4 - PROTECTION OF PERSONAL DATA
AgroMyne collects and processes its customers' personal data in accordance with applicable data protection regulations. The data collected is used exclusively to manage commercial relations, provide services and improve the platform.
Customers have the right to access, rectify, delete and oppose their personal data. These rights may be exercised by contacting AgroMyne via the form available on the site.
AgroMyne undertakes not to transfer personal data to third parties without the express consent of the Customer, unless required by law.
ARTICLE 5 - FORCE MAJEURE
AgroMyne shall not be held responsible for any delay or non-performance resulting from an event of force majeure as defined by applicable law, in particular: armed conflicts, natural disasters, epidemics, general strikes, border blockades, government decisions or any other circumstance beyond AgroMyne's control.
In the event of force majeure, AgroMyne's obligations are suspended without compensation. If the event lasts more than 60 days, the parties may terminate the contract by mutual agreement.
ARTICLE 6 - COMBATING MONEY LAUNDERING AND CORRUPTION
As part of its commodities brokerage and international trading activities, AgroMyne is committed to strict compliance with regulations relating to the fight against money laundering, terrorist financing and corruption (FATF/GAFI, OECD regulations, local laws).
AgroMyne reserves the right to refuse or terminate any business relationship if there are indications of fraudulent or unlawful activity or activity contrary to these obligations. The Customer guarantees the legality of the origin of its funds and of the goods processed.
ARTICLE 7 - LIMITATION OF LIABILITY
To the extent permitted by law, AgroMyne's total liability under these GCS shall not exceed the amount actually paid by the Customer for the service in question during the last 12 months. AgroMyne cannot be held responsible for indirect damages, operating losses or loss of earnings.
ARTICLE 8 - TERMINATION
AgroMyne reserves the right to suspend or terminate access to its services in the event of :
- Non-payment of sums due
- Violation of these GTC
- Fraudulent or illegal behavior
- Providing false information when registering or ordering
Cancellation does not give rise to any reimbursement of services already rendered.
ARTICLE 9 - MODIFICATION OF THE CGV
AgroMyne reserves the right to modify these terms and conditions at any time. The new conditions apply as soon as they are published on the site. www.AgroMyne.com.
For current contracts, 30 days' notice is given for substantial modifications.
It is the customer's responsibility to regularly consult the terms and conditions available online. Continued use of the services implies acceptance of the new conditions.
ARTICLE 10 - APPLICABLE LAW AND SETTLEMENT OF DISPUTES
These terms and conditions are governed by French law. In the event of a dispute relating to the formation, interpretation or execution of these conditions, the parties undertake to seek an amicable solution within 30 days.
In the absence of amicable agreement, any dispute will be submitted to the exclusive jurisdiction of the competent courts of AgroMyne's registered office, except in the case of legal provisions to the contrary applicable to consumers.
For cross-border transactions involving African countries, the parties may agree to have recourse to international arbitration under OHADA or CCJA rules, or to any other arbitration body by mutual agreement.
